TgPay Crypto Terms of Use

1. About this document and the operator

These terms govern the use of the TgPay Crypto wallet: the @tgpaycryptobot Mini App and bot in Telegram, the tgpaycrypto.com website, the Merchant API and related services.

The service is provided by American Ambition LLC, a limited liability company registered in the Republic of the Marshall Islands, entity number 967391. In these terms, “we”, “the operator” and “the service” mean American Ambition LLC and the TgPay Crypto wallet.

By opening the app, creating a wallet or making a transaction you accept these terms. If you do not agree with them, do not use the service.

The privacy policy, the AML and verification policy and, for merchant apps, the Merchant API terms apply alongside these terms. Where they conflict, the specific document prevails within its scope.

2. Definitions

  • Wallet — the TgPay Crypto custodial crypto wallet available through the bot's Mini App in Telegram.
  • Balance — the digital assets you manage through the wallet.
  • Digital assets — the cryptocurrencies and tokens the service supports.
  • Transaction — any action on the balance: a deposit, transfer, check, exchange, withdrawal, payment, subscription, payout or accrual.
  • Internal transaction — a transaction between balances inside the service; it is not sent to a blockchain.
  • Withdrawal — sending digital assets to an external blockchain address.

3. Who may use the service

The service is intended for individuals aged 18 or older and for merchants acting through authorized representatives. By using the service you confirm that you have reached that age and have the legal capacity to accept these terms.

You may not use the service if you are subject to applicable sanctions, act on behalf of such a person, or are located in a country or territory where using the service or transacting in digital assets is prohibited. The availability of individual features may depend on the legal requirements of your country.

The wallet is tied to your Telegram account. One person uses one wallet for themselves; creating wallets on other people's accounts, handing a wallet over to another person and using someone else's data to pass checks are not allowed.

4. Account and security

Access to the wallet goes through your Telegram account and is confirmed with a PIN or the device's biometrics. You are responsible for the security of your Telegram account, device, PIN and confirmation codes.

Never share your PIN, one-time codes or API tokens with anyone. Support staff never ask for them. Transactions confirmed from your account are treated as made by you.

If you suspect that someone else has gained access to your account or device, immediately terminate Telegram sessions on unknown devices and contact support. We may temporarily restrict outgoing transactions to protect the funds.

5. What the service does

The wallet is custodial: the operator holds the keys to the blockchain addresses, and you manage the balance through the app. We keep the record of your balance and execute transactions on your instructions.

The service includes deposits from external addresses, transfers to other Telegram users by username, checks by link or QR code, exchange between supported assets, withdrawals to external addresses, payment for Telegram digital goods, invoices and subscriptions, as well as the Earn feature and the Merchant API for business. The set of features, supported assets and networks is shown in the app and may change.

Digital assets on the balance are not a bank deposit, electronic money or insured funds. We do not provide investment, brokerage or advisory services and do not recommend buying or selling any asset.

6. Fees, rates and limits

Service and network fees, the exchange rate and the final amount to be debited are shown in the app before you confirm a transaction. By confirming a transaction you agree to the terms shown.

Digital asset rates come from market sources and are fixed at the moment you confirm a transaction. The network fee depends on blockchain congestion and may differ between networks.

We may set limits on transaction amounts and counts and require additional confirmations for large amounts. The current limits and fees are shown in the app and in the help center.

7. Transactions are irreversible

A withdrawal to a blockchain and an internal transfer to another user cannot be cancelled once confirmed. We cannot recover assets sent to a wrong address, an unsupported network, the wrong recipient or a mistyped username.

Check the address, network, amount and recipient before confirming. A deposit through an unsupported network or to a wrong address may result in the permanent loss of the assets.

Incoming deposits are processed subject to blockchain confirmations. Until the checks complete, the funds may be shown as pending.

8. Verification and restrictions

We verify identity, transactions and the source of funds as described in the AML and verification policy. Verification may be required to access certain features, when a restriction is reviewed or when a transaction is checked.

We may suspend a transaction, hold a deposit or restrict access to features where applicable law, the outcome of a check or protection against abuse requires it. The appeal and refund procedure is described in the same policy.

9. Prohibited use

You may not use the service for:

  • any activity that is illegal in your jurisdiction or in the counterparty's jurisdiction;
  • money laundering, terrorist financing and sanctions evasion;
  • fraud, phishing, extortion and any deception of other users;
  • transactions with funds obtained through hacks, theft or other unlawful acts;
  • circumventing checks and limits through linked accounts, straw recipients or splitting transactions;
  • automated address probing, load on the service, hacking attempts, bypassing protective mechanisms and data extraction;
  • selling goods and services prohibited by the Merchant API terms.

If we detect a violation, we may restrict or terminate access to the service, hold funds to the extent required by law, and share information with the competent authorities where there is a lawful basis.

10. Earn

The Earn feature accrues rewards on part of the balance under the procedure and at the rates shown in the app at the time of participation. Rates, participation conditions and supported assets may change; changes apply from their publication in the app and do not affect accruals already made.

Earn is not a bank deposit, a guaranteed return or an investment product. Participation is voluntary and you may stop at any time.

11. Merchant API and AI agents

Merchant apps, API tokens, invoices, webhooks, payouts and connecting an AI agent are governed by the Merchant API terms. By creating an app you accept them.

A connected AI agent receives a token with restricted permissions. You are responsible for the actions performed through your tokens and for the configuration of your agent.

12. Intellectual property

The app, the website, the documentation, the TgPay Crypto trademarks and logos belong to the operator or its licensors. You receive a personal, revocable, non-exclusive right to use the service for its intended purpose; copying, modifying, decompiling and creating derivative products without our consent is prohibited.

The wallet's only official bot is @tgpaycryptobot. Bots, channels and sites with similar names are not related to the service.

13. Disclaimer and limitation of liability

Digital assets are highly volatile and subject to regulatory risk; their value may fall to zero. Any decision to transact in them is yours alone.

The service is provided “as is”. We aim for uninterrupted operation but do not guarantee the absence of outages, blockchain delays, third-party service errors, Telegram restrictions or the unavailability of individual networks.

To the extent permitted by applicable law, we are not liable for lost profits, indirect losses, losses caused by rate fluctuations, the actions of third parties, the compromise of your account or device, or transactions you confirmed by mistake. The operator's liability for claims related to a transaction is limited to the service fee paid for that transaction, unless mandatory law provides otherwise.

14. Suspension and termination

You may stop using the service at any time after withdrawing your assets. We may suspend or terminate access in case of a breach of these terms, where the law requires it, for security risks or when the service is discontinued; we will give advance notice in the app of a planned discontinuation.

After access is terminated, the remaining assets can be withdrawn once the checks provided for in the AML and verification policy are complete, subject to applicable legal restrictions.

15. Changes to these terms

We may change these terms. The current version is published on the website and in the app with its effective date; we will notify you in the app of material changes. Continuing to use the service after the changes take effect means you accept them.

16. Governing law and disputes

These terms are governed by the law of the Republic of the Marshall Islands, unless the mandatory law of your country of residence provides otherwise. Disputes are resolved by the competent courts of the Republic of the Marshall Islands, except where the law gives you the right to bring a claim in the courts of your place of residence.

Contact us before going to court: most issues are resolved through support. A claim can be sent to law@tgpaycrypto.com; we will respond within a reasonable time.
